Confidentiality & Data Use Agreement

This Agreement applies to Buyers who access restricted listing information on CLIA FOR SALE. Restricted information may include CLIA laboratory identification numbers, street addresses, legal entity names, laboratory director identity and contact information, book of business / referral network details, financial package details, and identifying photographs (“Confidential Information”). Accepting this Agreement is required before you may request access to any listing; full details unlock only after the listing seller approves your access request for that listing.

1. Purpose limitation

You may use Confidential Information solely to evaluate a potential bona fide acquisition or investment in the listed laboratory and for no other purpose.

2. Non-disclosure

You will not disclose Confidential Information to any third party except your employees, attorneys, accountants, or financing sources who have a need to know and are bound by confidentiality obligations at least as protective as this Agreement. You remain responsible for their compliance.

3. Non-solicitation of relationships

For twelve (12) months after viewing a listing’s Confidential Information, you will not use that information to solicit the lab’s employees, referring physicians, or customers other than in connection with a transaction approved by the seller or as otherwise permitted by law.

4. No PHI / compliance

You will not request or transmit protected health information through the Platform. You will comply with applicable laws, including those governing privacy, unfair competition, and healthcare transactions.

5. Remedies

Unauthorized use or disclosure may cause irreparable harm. Sellers and CLIA FOR SALE may seek injunctive relief and terminate your access without limiting other remedies.

6. Platform role

CLIA FOR SALE facilitates access controls and messaging but does not guarantee the accuracy of seller-provided data. This Agreement does not create an exclusive brokerage relationship unless separately signed.
