Terms of Use

These Terms of Use (“Terms”) govern access to and use of the CLIA FOR SALE Brokering Services website and related services (the “Platform”). By creating an account or using the Platform, you agree to these Terms.

1. Nature of the Platform

CLIA FOR SALE provides a marketplace and communication tools for parties interested in buying, selling, or developing CLIA-certified laboratories and related services. Unless separately agreed in writing, CLIA FOR SALE is a technology and facilitation platform and may also provide brokerage services under applicable law. Listings are submitted by sellers and may not be independently verified in full.

2. Account types

The Platform supports Buyer and Seller accounts only. You must select the correct account type. Misrepresenting your role is a material breach. You are responsible for safeguarding credentials and for all activity under your account.

3. Public vs restricted information

Public teasers (e.g., non-identifying title, specialty, state-level geography, high-level financial metrics) may be viewed without an account. Restricted fields—including CLIA laboratory identification numbers, street addresses, legal entity names, lab director identity and contact details, book-of-business details, and certain photos—are available only to authenticated Buyers who have accepted the Confidentiality & Data Use Agreement, or to the Seller who owns the listing.

4. Prohibited conduct

• Scraping, harvesting, or bulk downloading restricted data
• Redisclosing confidential listing information outside legitimate diligence
• Posting PHI, false listings, or content you lack rights to share
• Circumventing access controls or security features
• Unlawful discrimination or harassment in communications

5. No professional advice

Content on the Platform is not legal, tax, accounting, clinical, valuation, or investment advice. You should obtain independent professional advice before any transaction.

6. Disclaimers & limitation of liability

THE PLATFORM IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIA FOR SALE DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLIA FOR SALE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF THE PLATFORM OR RELIANCE ON LISTINGS.

7. Indemnity

You agree to indemnify and hold harmless CLIA FOR SALE from claims arising from your listings, messages, misuse of restricted data, or breach of these Terms.

8. Changes & contact

We may update these Terms by posting a revised version. Continued use constitutes acceptance. Contact: deals@cliaforsale.com (placeholder).
